Terms and Conditions of Use — Brooder369 Platform

1. Definitions

  • The Platform: the Brooder369 platform.
  • Service Provider: any user registered on the platform who displays or provides their services through it, including students, graduates, university affiliates, as well as individuals or entities from outside the university.
  • Service Seeker: any user who benefits from the services offered through the platform, whether a university affiliate or otherwise.
  • Services: the work or tasks displayed and sold through the platform as determined by the service provider.

2. Acceptance of the Terms

By using or registering on the platform, you fully agree to these terms and conditions and to the platform's policies, including the Privacy Policy and the Payment, Refund, and Balance Withdrawal Policy.

If you do not agree to any part of these terms, you must stop using the platform immediately.

3. Registration on the Platform

  • Registration must be made with true, accurate, and complete data; any false or misleading data may lead to suspension or cancellation of the account.
  • The user bears full responsibility for maintaining the confidentiality of their login credentials and for all activities carried out through their account.
  • A service provider's account requires the approval of the platform's administration before it is activated or before the services designated for it can be used.
  • The platform may request any additional documents or information to verify the user's identity or the accuracy of the data provided.

4. User Obligations

First: Obligations of the Service Provider
  • Describing the service accurately, clearly, and truthfully.
  • Delivering the service within the agreed period and at the expected quality.
  • Not providing any services or content that breach academic integrity or educational regulations (such as taking exams, completing assignments, or preparing research and projects on behalf of students). The service provider's role is limited to legitimate consulting, reviews, and academic and professional guidance.
  • Not providing any services or content that violate the laws in force in the Kingdom of Saudi Arabia, intellectual property rights, or public morals.
  • Complying with all legal and regulatory requirements relating to the activity they provide.
Second: Obligations of the Service Seeker
  • Paying for services through the payment methods approved on the platform.
  • Providing the information and requirements needed to carry out the service correctly.
  • Not exploiting or using services for any unlawful purpose, or using them for academic cheating or practices that breach educational regulations.

5. Payment and Financial Transactions Policy

  • The platform collects Value Added Tax due on its commission only, in accordance with the applicable regulations.
  • The service provider alone bears responsibility for any tax, zakat, accounting, or regulatory obligations relating to their income or profits generated from the services they provide through the platform.

6. Balance Withdrawal and Bank Transfers

  • All withdrawal requests are subject to review and verification before execution. The platform may reject or suspend any withdrawal request where a breach of these terms or of the applicable regulations is suspected.
  • Withdrawal requests are processed within an estimated period of one (1) to seven (7) business days from the date of the request. This period may be extended where additional verification procedures are required, or due to the requirements of regulatory authorities, payment service providers, or banks.
  • The platform bears no responsibility for any delay caused by banks, payment service providers, or regulatory authorities, or by the user entering incorrect or outdated bank details.
  • Amounts due are transferred to the bank account registered by the user, and the user is fully responsible for the accuracy of the bank details entered.

7. Holding or Freezing of Funds

  • The platform may temporarily suspend or freeze the disbursement of any amounts where there is a dispute, a complaint, or a suspicion of a fraudulent transaction or a breach of these terms.
  • Amounts are released after the review is completed or the dispute is resolved in accordance with the platform's policies. The platform bears no responsibility for delays resulting from verification procedures or the requirements of regulatory authorities.
  • Transaction amounts remain held by the platform until completion of the service is confirmed, the objection period expires, or the dispute is resolved. This gives the user no right to demand them immediately during the holding period.

8. Identity Verification and Combating Fraud and Financial Manipulation

  • The platform may request verification of the user's identity, official documents, or bank details at any time.
  • The platform reserves the right to cancel transactions, reject requests, or close accounts in order to protect the platform and its users.
  • All payments are processed through licensed payment service providers within the Kingdom of Saudi Arabia and are subject to the terms and policies of the approved payment service provider, without the platform bearing direct responsibility for external banking processing procedures.
  • Misuse of promotional offers and coupons: the platform may offer purchase vouchers, discounts, or promotional offers on the terms it determines. Users may not sell, transfer, or exchange these vouchers or discounts for cash, or use them in a manner contrary to their intended purpose. The platform may cancel any voucher or discount, recover its value, or suspend the account where manipulation, misuse, or unlawful exploitation is suspected.

9. Financial Investigations and Transaction Reviews

  • The platform may review any financial transaction or user account where there are indicators suggesting a breach of the terms or the applicable regulations.
  • The platform may suspend, freeze, or delay any amounts, balances, or withdrawal requests until verification and review procedures are complete.
  • The user must provide the platform with the requested information or documents within the specified period, and the platform may suspend the account until the requirements are met.
  • The platform may reopen or review any previous financial decision or dispute if new information or evidence emerges that affects the earlier decision, without incurring any liability.

10. Rights of the Platform

  • The platform may suspend or cancel any account in the event of a breach of these terms or of suspicious activity.
  • The platform reserves the right to reject or remove any service or content it considers unlawful or inappropriate.
  • The platform may amend fees and commissions after notifying users, as it deems appropriate.
  • The platform may take any measures it deems necessary to protect the platform or its users, or to comply with the laws and instructions issued by the competent authorities.

11. Relationship Between the Parties

  • The platform's role is limited to providing a technical means that connects service providers with service seekers.
  • The platform is not a party to any agreement or contract concluded between users, except to the extent necessary to manage and operate the platform, process payments, and settle disputes.
  • The service provider and the service seeker bear full responsibility for their dealings and mutual obligations.

12. Limitation of Liability and Disclaimer of Warranties

  • The platform does not guarantee the quality, accuracy, suitability, or legality of the services provided by users; the service provider bears full responsibility for them.
  • The platform's services are provided "as is" and "as available", and the platform makes no warranties as to the continuity of the service or that it will be free of technical errors.
  • In all cases, the platform's financial liability (if any) towards any user is limited to the value of the disputed transaction or the amount paid through the platform, whichever is lower, within the limits permitted by the laws in force in the Kingdom of Saudi Arabia.

13. Intellectual Property

  • All rights relating to the platform (designs, software, logos, trademarks, and the content it owns) are reserved to the platform.
  • No part of the platform may be copied, reused, distributed, or exploited without prior written consent.

14. Legal Liability and Indemnification

  • Legal liability: the user undertakes not to use the platform for any unlawful activity, such as money laundering, fraud, identity impersonation, or infringement of intellectual property rights. The platform bears no responsibility for dealings conducted outside its official scope.
  • Prevention of financial misuse: the platform may suspend, disable, or restrict accounts in the event of any attempt at financial manipulation, including creating fictitious orders, manipulating payment transactions, or misusing the refund or bank chargeback system.
  • Indemnification: the user agrees to indemnify the platform, its officers, employees, and partners against any claims, damages, or costs arising from their breach of these terms or of the applicable regulations.

15. Bank Disputes and Chargebacks

  • If a user files a chargeback claim with their bank or payment service provider, the platform may suspend the account, the balance, or the disputed transaction until the investigation is concluded.
  • The platform may take the measures necessary to recover amounts or address any damages or fees resulting from unjustified or fraudulent claims, and may permanently disable the account where misuse of the dispute system is established.

16. Dispute Resolution

  • Either party may submit an objection through the platform in accordance with the approved procedures, and the platform's administration will review the evidence to reach an appropriate decision.
  • The platform's decision is final and binding with respect to the management of the transaction, the balance, and the amounts held within the platform, without prejudice to the right of any party to resort to the competent judicial authorities in the Kingdom of Saudi Arabia.
  • In the event of a conflict between the decisions of payment service providers and the platform's policies, priority is given to the platform's internal verification and review procedures regarding the management of held amounts and disputes within the system.

17. General Provisions

  • Termination and service suspension: the platform may suspend, disable, or terminate any account temporarily or permanently in the event of a breach of these terms or of the applicable regulations, or where fraudulent or unlawful activity is suspected, without prejudice to the platform's legal rights.
  • Force majeure: the platform bears no responsibility for any delay or failure to perform its obligations as a result of circumstances beyond its control (such as natural disasters, general technical failures, internet outages, or governmental decisions).
  • Amendments: the platform may amend these terms and conditions at any time, and users will be notified of material amendments before they take effect wherever possible.
  • Notices: all notices and alerts sent by email, SMS, or in-platform notifications are deemed official means of communication and produce their full legal effect.
  • Severability: if any clause of these terms is found to be void or unenforceable, this shall not affect the validity and effectiveness of the remaining provisions.
  • No waiver: the platform's failure to exercise any right under these terms shall not be deemed a waiver of that right, and it may exercise it later at any time.

18. Governing Law

  • These terms and conditions are governed by and construed in accordance with the laws and regulations in force in the Kingdom of Saudi Arabia.
  • The competent judicial authorities in the Kingdom of Saudi Arabia have jurisdiction over any dispute arising from use of the platform or relating to these terms.

19. Legal Information and Availability of Policies

  • The user acknowledges that their continued use of the platform constitutes express agreement to these policies and to any updates made to them.
  • Where a specific date is not available or updated within the text of any policy, the last version published on the platform is considered the applicable and approved version.
  • Approved version: the version published on the platform is the official and approved version of the terms and conditions and related policies. In the event of any conflict between a version published through any other medium and the version published on the platform, the version published on the platform prevails.
